No. TaxSure is not tax preparation and not a replacement for your CPA. TaxSure is meant to run in coordination with your CPA.

No. TaxSure works alongside your existing CPA. Your CPA handles ongoing compliance; TaxSure looks at a specific, bounded question your CPA may not have the bandwidth or mandate to dig into.

TaxSure does not cover generic tax advisory, broad seller-readiness work, open-ended tax structuring, or catch-all tax issue triage. In short, this is a surgical service meant to address the key deal points that come up in most lower middle market and main street transactions. We are not a supplement for your M&A advisor or your CPA.

TaxSure is for both buyers and sellers on either side of a deal. For sellers, we help you effectuate your F reorganization and navigate the tax issues that come up as part of the deal. For buyers, we are your outside tax counsel, handling the things your M&A lawyer either doesn't know how to or doesn't feel comfortable doing.

Deal structure changes what we're reviewing and why. We confirm the structure and scope during the Intake & Structuring Conversation before work begins, so there are no surprises on price or scope.

A Tax Due Diligence Folder covering the documents relevant to your matter, such as returns, entity filings, and prior agreements. We confirm the exact list during the Intake & Structuring Conversation, so you are not guessing at what to send. Keep in mind that the document list your lender provides falls well short of what's needed for a proper tax review, so we'll give you a full document request as part of the process.

Yes. TaxSure is delivered through the Law Office of Joshua A. Lowenthal, PLC, so the engagement is covered by the attorney-client relationship and the confidentiality obligations that come with it.

Every deal is different. The time and effort it takes to handle a $15 million deal is very different from a $5 million deal. Pricing starts at $5,000, and we take other variables into consideration, including:

• Number of parties
• Purchase price
• Number of selling entities
• Other deal mechanics

Either way, you'll always receive a flat fee, and that will be your fee for TaxSure.
